From Sun Oil Company to Suncor Inc.

Great Canadian Oil Sands (GCOS) evolved into a new corporate structure in 1979. In that year, Sun Oil Company announced that the three parts of its Canadian operations would merge into one new entity. The merger involved the company’s GCOS surface mining operations north of Fort McMurray, its conventional oil exploration and production division, as well as the company’s downstream refining and retail operations known until then as Sunoco. The now fully integrated oil company became Suncor Inc.

No sooner had Suncor emerged than the federal government imposed regulations on the petroleum industry through its National Energy Program (NEP), established in 1980. It moved to protect consumers against skyrocketing fuel costs by establishing price controls on oil produced. According to an analysis of the country’s new NEP policy published by the Daily Oil Bulletin, “Suncor has been allotted the Canadian price…per barrel for its current production, not the world price.” The Canadian price for oil produced that was allotted to Suncor amounted to almost $21 less per barrel than the world price. Consequently, Suncor executive vice president William Loar concluded, “…it seems to me that we are not getting a fair deal.”

The following year, Suncor sold twenty-five percent of its company interest to Ontario Energy Resources (OER), which was owned by the province of Ontario. This sale reflected several

developments. At the same time that the energy crisis was beginning in 1972, Canadian governments had begun to acquire petroleum assets and establish petroleum companies as Crown corporations to benefit Canada’s national interests. Then came “Canadianization” of the nation’s petroleum industry. This feature of the NEP proposed to increase Canadian ownership of the industry to fifty percent by 1990.

Their arrangement was advantageous to both Suncor and Ontario within the environment created by NEP. Most specifically, it meant Suncor could be considered “Canadianized” in order to be eligible for federal incentive payments for undertaking frontier and offshore exploration.

Ontario gained a stake in an integrated petroleum company that was then in the midst of a $185 million plant expansion that would increase production up to 58,000 barrels per day. Under NEP regulations, the plant would be permitted to charge world prices for “new oil” from the expansion, while it must still charge “old oil” prices for output from its original facilities.

As the Suncor case illustrates, Canadian petroleum assets were increasingly available for purchase during the early 1980s as numerous large foreign companies—influenced by the NEP—restructured their Canadian holdings.
